INDEPENDENT CONTRACTOR AGREEMENT
SOUTHEAST SIGNING SERVICE CORPORATION

This Independent Contractor Agreement ("Agreement") is entered into between Southeast Signing Service Corporation ("Company") and the undersigned Notary Signing Agent ("Contractor").

1. INDEPENDENT CONTRACTOR STATUS
The Contractor acknowledges that they are an independent contractor and not an employee, partner, or agent of the Company. The Contractor is responsible for their own taxes, insurance, and compliance with all applicable laws and regulations.

2. NON-SOLICITATION AND NON-COMPETE CLAUSE
The Contractor agrees that during the term of this Agreement and for a period of twelve (12) months following its termination:

a) The Contractor shall NOT directly or indirectly solicit, contact, or conduct business with any client, customer, or business entity that was introduced to the Contractor through the Company.

b) The Contractor shall NOT attempt to divert, take away, or interfere with any of the Companys clients, customers, or business relationships.

c) The Contractor shall NOT use any confidential information, client lists, or proprietary business information obtained through the Company for personal gain or for the benefit of any competing entity.

3. MALPRACTICE AND LICENSE REVOCATION WARNING
The Contractor acknowledges and understands that:

a) Soliciting or stealing clients from a signing service is considered a violation of professional ethics and standards for notary signing agents.

b) Such conduct may constitute grounds for disciplinary action by the state notary commissioning authority, including but not limited to suspension or revocation of the Contractors notary commission.

c) The National Notary Association (NNA) and similar certifying bodies may revoke certifications and professional designations for such conduct.

d) The Contractor may be held liable for damages, including but not limited to lost revenue, legal fees, and punitive damages.

4. CONFIDENTIALITY
The Contractor agrees to maintain strict confidentiality regarding all client information, business processes, pricing structures, and proprietary methods of the Company. This obligation survives the termination of this Agreement.

5. PROFESSIONAL STANDARDS
The Contractor agrees to:
a) Maintain an active and valid notary commission at all times.
b) Maintain adequate Errors & Omissions (E&O) insurance coverage.
c) Comply with all state and federal laws regarding notarial acts.
d) Represent the Company professionally in all client interactions.
e) Complete all assignments in a timely and professional manner.

6. TERMINATION
Either party may terminate this Agreement at any time with written notice. Upon termination, the Contractor must:
a) Return all Company materials and documents.
b) Cease all use of Company branding and marketing materials.
c) Continue to honor the non-solicitation provisions as outlined above.

7. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Georgia.

8. ACKNOWLEDGMENT
By signing below, the Contractor acknowledges that they have read, understood, and agree to all terms and conditions set forth in this Agreement. The Contractor further acknowledges that violation of the non-solicitation clause may result in legal action and potential revocation of their notary commission.
